Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Sherwood Entertainment LLC ("Sherwood," "we," "us," or "our") governing your use of the Sherwood Kids application and related services (the "Service").

By creating an account, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

Sherwood Kids is a subscription reading and audiobook platform designed for families. The Service provides access to a curated library of ebooks, audiobooks, and read-along titles for children and families.

2. Account Structure and Eligibility

2.1 Parent Account Holder

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. The account holder ("Parent") is the party entering into this agreement and is responsible for all activity on the account, including activity on child profiles.

2.2 Child Profiles

Parents create and manage child profiles within their account. Children access the Service through these profiles under parental supervision and authority. Children do not create their own accounts or agree to these Terms independently — the Parent agrees on behalf of their family.

2.3 Parental Responsibility

As the Parent account holder, you are responsible for:

  • Configuring age-appropriate content settings for each child profile
  • Managing PIN protection and profile access
  • Supervising your children's use of the Service as you see fit
  • All activity that occurs under your account

3. Subscription and Payment

3.1 Subscription Plans

Access to the Service requires a paid subscription after your free trial. We offer monthly and annual subscription plans. Subscription details, including pricing and billing frequency, are presented at the time of purchase.

3.2 Free Trial

We offer a 7-day free trial to new accounts. You are not charged during the free trial, and you may cancel at any time before it ends without being charged. Your 7-day free trial is your opportunity to decide whether Sherwood is right for your family. We will email you a reminder before your free trial ends — typically about two days before your first charge — so you have time to cancel if you do not wish to continue. If you do not cancel before the trial ends, your subscription begins and we charge your payment method for the plan you selected. Trial availability and length may vary for certain promotions and will be disclosed at signup.

3.3 Billing and Renewal

Your first charge occurs at the end of your free trial unless you cancel before then. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You authorize us to charge your payment method on file for each renewal period.

3.4 Price Changes

We may change subscription prices with at least 30 days' notice. Price changes take effect at the start of your next billing period after the notice. If you do not agree to the new price, you may cancel before the change takes effect.

3.5 Cancellation and Refunds

You may cancel your subscription at any time through your account on our website (see Section 3.7).

  • During your free trial: if you cancel before the trial ends, you are not charged and owe nothing.
  • Within 24 hours of your first charge: you may request a full refund. This 24-hour grace period is in addition to the 7-day free trial — extra time in case the charge took you by surprise, on top of the reminder email we send before the trial ends.
  • After the 24-hour grace period: refunds are provided solely at our discretion.

Apart from the refund rights above, cancellation takes effect at the end of your current billing period — you retain access until then — and we do not provide automatic partial refunds for unused portions of a billing period.

Promotional speaker. If you received a free promotional Sherwood Speaker and you receive a refund, and the speaker has already shipped to you, we will deduct the retail value of the speaker and the actual shipping cost from your refund, because a shipped speaker cannot be returned to inventory or resold. If the speaker has not yet shipped when you cancel, it is voided and no deduction applies. See Section 3.8.

3.6 Payment Processing

Payments are processed by Stripe, Inc. We do not store your credit card or banking information on our servers. Stripe's terms and privacy policy govern the processing of your payment.

3.7 Purchasing and Managing Your Subscription

Subscriptions are purchased and managed exclusively through our website at sherwoodkids.com. The Sherwood mobile, tablet, and desktop apps do not offer in-app purchases. To start, change, or cancel a subscription, update your payment method, or delete your account, sign in at sherwoodkids.com or contact us at help@sherwoodkids.com.

3.8 Free Speaker Promotion

From time to time we offer a complimentary Sherwood Speaker as a welcome gift to qualifying new subscribers. The promotion is subject to these terms:

Eligibility. To qualify for a free speaker, you must:

  • be a first-time Sherwood subscriber who has not previously received a free Sherwood Speaker;
  • purchase an annual (yearly) subscription — monthly subscriptions do not qualify;
  • complete your purchase through our website (sherwoodkids.com); and
  • not apply a discount or coupon greater than 25% off at checkout.

Limit one (1) free speaker per household and per account.

The speaker is a gift. The Sherwood Speaker is provided as a complimentary promotional gift. It is not a purchase, is not required to use the Service, and is not covered by any warranty, guarantee, or replacement policy. Sherwood works with any Bluetooth-enabled speaker; the Sherwood Speaker is a standard Bluetooth speaker and is not a proprietary or essential part of the Service. Design, color, packaging, and specifications may vary from what is shown in our promotional materials.

Shipping. Qualifying speakers ship to United States addresses only, after your first payment has been successfully processed. We expect to ship within seven (7) business days of payment confirmation; shipping times are estimates and are not guaranteed. If your subscription is cancelled or refunded before the speaker ships, you forfeit eligibility and the speaker is not sent.

International. We do not ship free speakers outside the United States. If you are outside the U.S. and purchased a qualifying annual subscription, we are happy to send you a speaker if you cover the international shipping cost — contact us at help@sherwoodkids.com.

Refunds involving a shipped speaker are handled as described in Section 3.5. We may modify, replace, or discontinue this promotion at any time without prior notice; changes will not affect speakers already shipped or orders already confirmed.

4. Content and Licensing

4.1 Content License

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and enjoy content available through the Service for personal, non-commercial, family use only.

4.2 Content Ownership

All content available through the Service — including text, illustrations, audio recordings, and cover artwork — is owned by or licensed to Sherwood or its publishing partners. Your subscription provides access, not ownership. You may not reproduce, distribute, publicly display, or create derivative works from any content.

4.3 Content Availability

The content library may change over time. Titles may be added or removed based on licensing agreements with publishers. We do not guarantee that any specific title will remain available.

4.4 Age-Appropriate Content

We curate content with age ratings and provide parental controls for filtering. However, age ratings are advisory, and parents are ultimately responsible for determining what content is appropriate for their children.

5. Acceptable Use

You agree not to:

  • Share your account credentials with anyone outside your household
  • Attempt to circumvent content restrictions, parental controls, or security features
  • Use automated tools, bots, or scripts to access the Service
  • Copy, download, redistribute, or commercially exploit any content
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use the Service for any unlawful purpose
  • Interfere with the operation of the Service or other users' enjoyment of it

6. No User-Generated Content from Children

The Service does not permit children to post, publish, upload, or share any content publicly. Children cannot communicate with other users. Search queries entered to find titles are used only to return results within the Service and to improve our library; they are not published, shared with other users, or used for advertising.

7. Parental Controls

The Service provides the following parental controls, accessible through the Parent profile:

  • PIN protection for switching to the Parent profile and managing settings
  • Age-based content filtering that limits visible content based on each child's age
  • Curated-only mode where the Parent manually selects which titles are available to a child
  • Content category exclusions to hide specific topics or genres
  • Daily time limits per child profile
  • Family activity reports showing each child's reading and listening activity

8. Referral Program

When you create an account, you are automatically provided a unique referral code and link that you can share to earn subscription credit when new users sign up through your referral.

  • The referral program is available only to Parent account holders, not child profiles
  • Referral credits are non-transferable and have no cash value
  • We reserve the right to modify, suspend, or discontinue the referral program at any time
  • Abuse of the referral program (including creating fake accounts) may result in forfeiture of credits and account termination
  • Additional referral program terms may apply and will be presented when you participate

9. Privacy and Children's Data

We are committed to protecting children's privacy. Our collection and use of information is described in our Privacy Policy, which is incorporated into these Terms by reference.

We comply with the Children's Online Privacy Protection Act (COPPA) and do not collect personal information directly from children. Parents have the right to review, delete, or refuse further collection of information associated with their child's profile, as described in the Privacy Policy.

10. Intellectual Property

The Service, including its design, code, branding, trademarks, and all original content, is owned by Sherwood Entertainment LLC. The Sherwood name, logo, and taglines are our trademarks. You may not use our trademarks without prior written permission.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We do not warrant the accuracy or completeness of any content.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHERWOOD'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL SHERWOOD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, REGARDLESS OF THE THEORY OF LIABILITY.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

13. Indemnification

You agree to indemnify and hold harmless Sherwood, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Account Termination

14.1 By You

You may delete your account at any time by contacting us at help@sherwoodkids.com from the email associated with your account. Upon deletion, all account data and child profiles are permanently removed, subject to any legal retention requirements for payment records.

14.2 By Us

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if required by law. We will provide notice when reasonably possible.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by a prominent notice in the app at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles.

Any dispute arising from these Terms or the Service that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA), except that either party may seek injunctive relief in a court of competent jurisdiction. You agree to resolve disputes on an individual basis and waive any right to participate in a class action.

EU and UK Users

If you are a consumer in the European Union or United Kingdom, nothing in these Terms affects your statutory consumer rights. You may bring proceedings in the courts of your country of residence. The European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr.

17. General Provisions

  • Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Sherwood regarding the Service.
  • Severability. If any provision is found unenforceable, the remaining provisions remain in full effect.
  • Waiver. Our failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment. You may not assign your rights under these Terms. We may assign our rights in connection with a merger, acquisition, or sale of assets, with notice to you.
  • Electronic Communications. By using the Service, you consent to receiving communications from us electronically (email, in-app notices). These communications satisfy any legal requirement that notices be in writing.
